Sarabnes Oxley Compliance
The Sarbanes Oxley Act of 2002 (SOX) imposes significant new requirements on companies listed on U.S. Stock exchanges. The two sections 302 and 404 of SOX particularly pose a challenge for implementation and compliance for companies. These sections require the CEO and CFO of a company to certify and assert to all stakeholders that the SEC disclosures are truthful and reliable. Also the management has taken appropriate steps to satisfy themselves that the disclosure processes and controls in the company are capable of consistently producing reliable financial information. The company’s external auditor must report on the reliability of management’s assertion on the internal control.
